1. Definitions
Conditions refer to the terms and conditions of sale set out in this document, including any special terms agreed in writing between Us and You. The Contract refers to the agreement between Us and You for the sale and purchase of Goods and/or the provision of Services. Goods are the items you agree to purchase from us, as detailed in the Order. The Order refers to the order as set out in our quotation or as otherwise specified in writing. Price refers to the amount quoted or calculated according to our tariffs, excluding VAT and delivery costs. Services are the work we provide as specified in the Order. Service Items refer to items we agree to repair, service, upgrade, or rebuild. You/Your refers to the person, firm, or company purchasing from us. We/Us/Our refers to SpiderIT Ltd, Attleborough, Norfolk, NR17 2SB.

2. Conditions
We sell and provide Goods and/or Services under the terms agreed orally or in writing, governed by these Conditions. By placing an Order, you confirm that you have read and accepted these Conditions. No variation shall be binding unless agreed in writing by our authorised representative. Our agents and employees do not have the authority to make representations beyond these Conditions. Any typographical or clerical errors may be corrected without liability on our part. If such corrections fundamentally change your obligations, you may cancel the contract within seven days of notification.

3. Goods & Services
We may alter the specification of Goods and/or Services to reflect technological changes, conform to statutory or EU requirements, or where changes do not materially affect quality or fitness for purpose. If you require a specific specification, it must be provided at the time of the Order. Where Services are performed at your premises, you must provide necessary materials, facilities, and personnel and ensure compliance with health and safety regulations.

4. Service Level Agreements (SLAs) for IT Support & Web Services
We will use reasonable efforts to respond to IT support and web maintenance requests within agreed timeframes. However, we do not guarantee uninterrupted or error-free service and are not liable for downtime, data loss, or third-party service disruptions.

5. Delivery & Performance
Delivery dates are estimates only. Upon delivery, you must inspect Goods within 72 hours and notify us of any defects. If you fail to take delivery or provide adequate instructions, we may store the Goods and charge for storage or resell them. If we deliver more or less than the agreed quantity, we will adjust accordingly upon notice within 24 hours. You cannot reject a delivery due to excess or short quantity but may receive a refund or additional delivery where applicable.

6. Limitation of Liability for Cybersecurity & Data Breaches
While we take reasonable security measures, we shall not be liable for any data breach, hacking incident, or malware infection beyond our control, including those affecting third-party services we use (e.g., hosting providers, email platforms, CRM tools).

7. Intellectual Property (IP) Rights for Web Development
All website code, graphics, and content created by SpiderIT Ltd remain our intellectual property until full payment is received. After full payment, the client receives a non-exclusive, royalty-free license to use the website/software, except where third-party licenses apply.

8. Third-Party Plugins & Software Disclaimer
We may use third-party plugins, APIs, or services to enhance functionality. We are not responsible for their performance, security, compatibility, or changes in terms that may impact your website or service.

9. Hosting, Backups & Data Loss Responsibility
We provide hosting and backup services as agreed. However, we do not guarantee uninterrupted service, and clients are responsible for maintaining their own backups. We are not liable for data loss due to hardware failure, hacking, or third-party hosting provider issues.

10. Price & Payment
Unless otherwise agreed, invoices are payable on receipt or within 30 days as notified. If payment is not made by the due date, we may cancel the Contract, suspend deliveries, or charge interest at 3% per annum above Lloyds TSB Bank Plc base rate. The Price may be increased due to changes in specifications, additional work required, or cost variations.

11. Title & Risk
Risk passes to you upon delivery. Ownership remains with us until full payment is received. Until ownership transfers, you must store the Goods separately and maintain them in good condition. If payment is not received, we may repossess Goods without notice. Goods cannot be pledged or used as security until fully paid.

12. Warranties & Liabilities
We warrant that Services will be provided with reasonable skill and care. However, we do not guarantee that software will meet your requirements or be error-free. Our liability does not extend to defects arising from negligence, abnormal conditions, failure to follow instructions, or modifications. We are not liable for damages arising from circumstances beyond our control, including computer viruses. Manufacturer warranties apply where relevant. Our liability is limited to replacing defective Goods or refunding the Price. We shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, or data.

13. Force Majeure
We shall not be liable for any delay or failure in performance due to events beyond our reasonable control, including but not limited to acts of God, strikes, supplier failures, cyberattacks, or government actions. If such an event occurs, we will notify you as soon as possible and may extend delivery times accordingly.

14. Data Protection & GDPR Compliance
We comply with GDPR and data protection laws when handling personal data. Customer information is processed securely and used only for necessary business purposes. Users have the right to access, amend, or request the deletion of their personal data by contacting us at hello@new.spideritdevelopment.uk. We may share data with third-party service providers for business operations, but we do not sell personal data to third parties.

15. Refund & Return Policy
Refunds and returns are only accepted for defective Goods as outlined in Section 5. Custom or bespoke Goods are non-refundable unless faulty. Any claims for refunds must be made within 72 hours of delivery.

16. Cancellation
We may cancel the Contract without liability if we receive unsatisfactory credit references or if credit is refused. If you become bankrupt or enter administration, we may cancel the Contract or suspend further deliveries. Orders may not be cancelled unless agreed in writing, in which case we may charge a cancellation fee of 10% of the Price or seek full indemnification.

17. General
If any provision of these Conditions is deemed invalid, the remaining provisions shall remain in effect. We may subcontract obligations where necessary. No waiver of breach shall be considered a waiver of subsequent breaches. Notices must be in writing and delivered by post or facsimile. This Contract does not confer any rights on third parties. The Contract is governed by the laws of England and subject to the jurisdiction of English courts.
